1. About Poise

Poise is a subscription awareness and management platform operated by Leadnex ("we", "us", or "our"). Poise connects to your email inbox(es) to automatically detect, track, and organise your software subscriptions and recurring charges.

The service is accessible at app.usepoise.com. These Terms of Service ("Terms") govern your use of Poise and form a legally binding agreement between you and Leadnex.

2. Eligibility and Account Registration

To use Poise, you must:

• Be at least 13 years of age (or the minimum age of digital consent in your jurisdiction)
• Provide accurate and complete registration information
• Keep your account credentials confidential and not share them with others

• Notify us immediately at [email protected] if you suspect unauthorised access to your account

You are responsible for all activity that occurs under your account, whether or not authorised by you.

3. Acceptable Use

You agree to use Poise only for lawful purposes. You must not:

• Connect an inbox you do not own or do not have explicit permission to connect
• Attempt to reverse-engineer, decompile, or extract source code from Poise
• Use automated tools (bots, scrapers) to access Poise beyond normal use
• Attempt to circumvent any usage limits, access controls, or security features
• Use Poise to process data in violation of any applicable law
• Resell, sublicense, or commercially exploit Poise without our written permission
• Upload or transmit malicious code, viruses, or any disruptive content

4. Gmail and Email Inbox Access

Poise requests access to your Gmail inbox using Google OAuth. By connecting your inbox, you authorise Poise to:

• Read email content (subjects, senders, body text) to identify subscription-related emails
• Store structured subscription data extracted from those emails
• Periodically scan your inbox for new subscription emails

You can disconnect your inbox at any time from Settings → Email Connection. Upon disconnection, all data associated with that inbox is permanently deleted.

5. Subscription Plans and Billing

5.1 Free Plan and Trial

Poise offers a free plan with limited features. New accounts receive a 14-day free trial with expanded features upon connecting their first email inbox. At the end of the trial, your account reverts to the free plan unless you subscribe to a paid plan.

5.2 Paid Plans

Poise offers paid subscription plans (Starter, Pro, Team) billed monthly or annually. All prices are displayed in Indian Rupees (INR).

5.3 Payment Processing

Payments are processed securely by Razorpay. By subscribing, you authorise Razorpay to charge your selected payment method on a recurring basis until you cancel.

5.4 Cancellation

You may cancel your subscription at any time by contacting us at [email protected]. Upon cancellation, your paid plan remains active until the end of the current billing period. Your data is preserved after cancellation.

5.5 Refunds

All payments are non-refundable except where required by applicable law. If you believe you have been charged in error, contact us within 7 days of the charge at [email protected].

5.6 Price Changes

We may change subscription prices with at least 30 days' notice. If you do not agree with a price change, you may cancel before the new price applies.

5.7 Failed Payments

If a payment fails, your subscription may be suspended and email scanning paused until payment is resolved. We will notify you by email and display a notice within the app.

6. Intellectual Property

All content, features, and functionality of Poise are owned by or licensed to Leadnex. You retain ownership of all data you provide or that is extracted from your inboxes. By using Poise, you grant us a limited licence to process and display your subscription data solely to provide the service to you.

7. Data and Privacy

Your use of Poise is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using Poise, you confirm that you have read and agree to our Privacy Policy.

8. Disclaimer of Warranties

Poise is provided on an "as is" and "as available" basis. We do not warrant that Poise will be uninterrupted or error-free, or that subscription detection will be 100% accurate. Poise is a tool to help you become aware of your subscriptions — you should independently verify important subscription information before taking financial action.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Leadnex shall not be liable for any indirect, incidental, or consequential damages. Our total liability for any claim shall not exceed the amount you paid us in the 3 months preceding the claim, or ₹1,000, whichever is greater.

10. Service Modifications and Termination

We reserve the right to modify or discontinue any part of Poise with at least 14 days' notice where reasonably possible. You may terminate your account at any time by contacting us — all your data will be permanently deleted within 30 days. We may suspend or terminate your account immediately for violations of these Terms.

11. Governing Law

These Terms shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of competent courts in India.

12. Changes to These Terms

We may revise these Terms at any time. When we make material changes, we will notify you at least 14 days before the changes take effect. Your continued use of Poise after the effective date constitutes acceptance.
